Apex Security Inc. – Terms and Conditions

Effective Date: October 4, 2024

These Terms and Conditions (“Agreement”) govern the use of security services provided by Apex Security Inc. (“Apex Security,” “we,” “us,” or “our”). By engaging our services, the client (“you,” “your,” or “Client”) agrees to comply with these terms.

1. Services Provided

Apex Security provides security services, which may include but are not limited to:

• On-site security personnel
• Mobile and Static patrols
• Alarm monitoring
• CCTV Monitoring
• Security System Installs and Upgrades
• Fire inspection services
• Event security
• Security consultation and risk assessment Loss Prevention
• Community patrol services
• Public Security Unit

The specific services to be provided will be detailed in the contract signed between Apex Security and the Client.

2. Client Responsibilities

• The Client must provide a safe and secure environment for our personnel to perform their duties.
• The Client agrees to promptly inform Apex Security of any known risks, hazards, or safety concerns at the service location.
• The Client is responsible for obtaining any required permissions, permits, or licenses necessary for security operations on the premises.

3. Service Fees and Payment

• The Client agrees to pay the fees as outlined in the service contract.
• All invoices are due within thirty (45) days of issuance unless otherwise specified.
• Late payments may be subject to interest charges of 2% per month.
• Apex Security reserves the right to suspend services if payment is not received in accordance with agreed terms.

4. Termination of Services

Either party may terminate the Agreement by providing 30 days written notice. Apex Security may terminate the Agreement immediately in the event of:

• Non-payment of fees by the Client.
• Unsafe or hazardous working conditions.
• Breach of these Terms and Conditions by the Client.

5. Liability

• Apex Security will exercise reasonable care and due diligence in providing its services.
• However, Apex Security is not liable for any losses, damages, or injuries that occur beyond our control or due to the negligence or willful misconduct of the Client.
• The Client agrees to indemnify and hold Apex Security harmless from any claims, losses, or damages arising from their use of our services, except for claims arising from Apex Security's gross negligence or intentional misconduct.

6. Insurance

Apex Security maintains appropriate insurance coverage, including liability insurance, to cover incidents directly caused by our personnel while performing contracted services.

7. Confidentiality

Both parties agree to keep confidential any information received in the course of performing services, except where disclosure is required by law.

8. Force Majeure

Apex Security is not liable for any delay or failure to perform its obligations if such delay or failure results from events beyond our reasonable control, including acts of nature, strikes, lockouts, accidents, or governmental restrictions.

9. Dispute Resolution

In the event of any dispute arising from this Agreement, both parties agree to first seek resolution through good faith negotiations. If the dispute cannot be resolved, it will be submitted to arbitration in accordance with the Alberta arbitration rules.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Canada.

11. Modifications to Terms

Apex Security reserves the right to modify these Terms and Conditions at any time. Any changes will be communicated to the Client in writing.

12. Entire Agreement

This Agreement, along with the specific service contract, constitutes the entire agreement between the parties. Any amendments must be made in writing and signed by both parties.

By engaging our services, you acknowledge that you have read, understood, and agree to these Terms and Conditions.
